(b) During the fourth quarter of 1998 the Company filed a report on Form 8-K, dated November 25, 1998, pertaining to the Company’s filing of a Registration Statement on Form S-4 (Registration No. 333-50637) relating to the Company’s then pending proposal to purchase substantially all of the assets of 63 partnerships of which the Company is the Managing General Partner.
